Alan Lindeke brings first-hand experience in every facet of the mortgage origination process. Prior to beginning his legal career, Lindeke worked in every aspect of mortgage lending from origination, processing and underwriting to closing. Lindeke was also a branch manager at several retail mortgage lenders, and even ran his own mortgage brokerage. This hands-on-experience, combined with his unparalleled knowledge of relevant laws and regulations, allows him to offer unique insight into solving real-world legal and regulatory issues with minimal impact and disruption to related business units. Over the past 11 years, he has served as Chief Compliance Counsel for several mortgage lenders, diligence providers, FinTechs, and financial institutions (obtaining his CRCM designation from the American Bankers Association along the way). Most recently, he served as General Counsel and Chief Legal Officer for Change Lending, LLC. Throughout his legal career he has dealt with multiple legacy repurchase litigations, mergers and acquisitions, securities offerings, and community-focused lending program matters. Given this successful track record, he was recently named a finalist for the prestigious Los Angeles Times In-House Counsel of the Year Award in 2023.
Lindeke is nationally recognized for his extensive knowledge of mortgage related laws and regulations. Lindeke has actively participated in shaping the legal landscape for unsecured consumer lending, residential mortgage lending, community focused lending programs, and depository financial institutions.
As an active participant on task forces for various industry trade associations, such as the American Banker’s Association and Structured Finance Association, Lindeke has help industry implement best practices and standards for compliance with regulatory requirements such as the Bigger-Watters Flood Insurance Reform Act, depository institution mandate to transition away from the London Inter Bank Offer Rate, the Consumer Financial Protection Bureau’s TILA-RESPA Integrated Disclosure Rule, and its Ability-to-Repay and Qualified Mortgage Rule.
Lindeke regularly advises clients on entity formation, licensing, new loan programs, affiliated businesses, policies and procedures, technology development, due diligence, advertising, outsourcing arrangements, lead generation, Fannie Mae, Freddie Mac and federal agency loan programs, and banking and lending regulatory requirements. His clients are involved in all aspects of loan brokering, lending, settlement and closing, servicing, and secondary market activities. Lindeke also has experience handling numerous litigations, enforcement action, intellectual property right, employment and labor, trust and estate, corporate formation, and M&A and securities matters for clients. Lindeke regularly finds himself negotiating contractual agreements for his clients seeking favorable terms and risk mitigation for warehouse lines of credit, sale and repurchase transactions, mortgage loan purchases, mortgage broker relationships, and those governing various vendor relationships.
Lindeke is well versed in the Truth in Lending Act (“TILA”), Real Estate Settlement Procedures Act (“RESPA”), Secure and Fair Enforcement for Mortgage Licensing Act (“SAFE Act”), Fair Debt Collection Practices Act (“FDCPA”), Unfair, Deceptive or Abusive Acts or Practices (“UDAAP”), Home Ownership and Equity Protection Act (“HOEPA”), Home Mortgage Disclosure Act (“HMDA”), Equal Credit Opportunity Act (“ECOA”), Fair Housing Act, Fair Credit Reporting Act (“FCRA”), Fair and Accurate Credit Transactions Act (“FACTA”), Gramm-Leach-Bliley Act (“GLBA”), anti-money laundering (“AML”), Bank Secrecy Act (“BSA”), Electronic Signatures in Global and National Commerce Act (“ESIGN”), the Dodd-Frank Wall Street Reform and Consumer Protection Act (“Dodd-Frank Act”), the Bank Holding Company Act (“BHCA”), and federal preemption and related state laws.
Lindeke is frequently called upon by industry associations and national trade and industry media outlets for his deep market insight and knowledge, including American Banker, the American Bankers Association, Bloomberg, Inside Mortgage Finance, the Mortgage Bankers Association and California Mortgage Bankers Association. In addition to graduating from law school in just two years with honors, Lindeke went on to obtain his LL.M in taxation from the University of San Diego.
